Minnesota's New LLC Statute 322C governs all Limited Liability Companies as of January 1, 2018. 
This new LLC statute only affected new LLC's formed on August 1, 2015 and later will now replace the old 322B statute that governed all LLC's created prior to 8/1/2015. This may have significant affects on your LLC and the MN Secretary of State is recommending that you contact an attorney to review the impact of the new Law and draft any changes to organizational documents including articles of organization, member control agreements, operating agreements, bylaws, and any other governance documents that may be affected.
